1. Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "Client"), and Restoration Referral Partners, a DBA of AS Strategies LLC, a Michigan limited liability company ("we," "us," or "our"), concerning your access to and use of the restorationreferralpartners.com website as well as any other media form, channel, or service related, linked, or otherwise connected thereto (collectively, the "Site" and "Services").
By accessing the Site or using our Services, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions.
2. Description of Services
Restoration Referral Partners operates as a business-to-business networking and lead generation service. We facilitate introductions by booking appointments directly into our Clients’ (mold restoration companies) calendars with local referral partners, such as realtors, home inspectors, and other relevant professionals across the United States.
3. Fees, Billing, and Payment Terms
By utilizing our appointment-booking Services, you agree to the following billing structure:
Variable Fees: Our pricing consists of a monthly retainer fee and a fixed fee per meeting held. Because markets and client needs vary, both the monthly fee and the per-meeting fee are variable. The specific rates applicable to your account will be agreed upon in writing prior to the commencement of Services.
Meeting Status and The 48-Hour Rule: Clients are required to track and report the outcome of all booked appointments. Following a scheduled meeting, the Client must log in or notify us to mark the appointment as either "Showed" or "No-Showed."
If a Client does not mark a meeting as "Showed" or "No-Showed" within forty-eight (48) hours of the scheduled meeting time, our system will automatically mark the meeting as "Showed."
Meetings automatically marked as "Showed" due to the expiration of this 48-hour window will be billed at your agreed-upon per-meeting rate. Reversals or refunds will not be issued for meetings billed under this 48-hour automatic classification.
Payments: You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site or our invoicing system.
4. User Responsibilities and Representations
By using the Services, you represent and warrant that:
You have the legal capacity and authority to agree to these Terms and Conditions on behalf of your business.
You will maintain the accuracy of your calendar availability to ensure appointments can be booked efficiently.
You will conduct yourself professionally during all meetings arranged by Restoration Referral Partners.
You understand that we do not guarantee a specific amount of revenue, closed deals, or business growth resulting from these introductory meetings. We solely guarantee the scheduling of the introduction.
5. Intellectual Property Rights
Unless otherwise indicated, the Site and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights of the United States.
6. Limitation of Liability
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site or our Services, even if we have been advised of the possibility of such damages.
7. Governing Law and Dispute Resolution
These Terms and Conditions and your use of the Site and Services are governed by and construed in accordance with the laws of the State of Michigan applicable to agreements made and to be entirely performed within the State of Michigan, without regard to its conflict of law principles. Any legal action or proceeding related to your access to or use of the Site or Services shall be instituted in a state or federal court in Michigan.
8. Term and Termination
These Terms and Conditions shall remain in full force and effect while you use the Site and Services. Either party may terminate the business relationship according to the specific cancellation terms outlined in your individual service agreement. We reserve the right to suspend or terminate your account if you breach these Terms and Conditions, including failure to pay undisputed fees.
9. Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Site or these Terms at any time or for any reason at our sole discretion without notice. Your continued use of the Site or Services following the posting of revised Terms means that you accept and agree to the changes.
